DATAPREP HOLDINGS BHD ("DHB" OR THE "COMPANY") 
PROPOSED DISPOSAL OF 60% EQUITY INTEREST IN DATAPREP PAYMENT SOLUTIONS SDN. BHD. BY THE COMPANY, TO MR. NG CHEE CHAU FOR RM3.0 MILLION TO BE FULLY SETTLED IN CASH ("PROPOSED DISPOSAL")

The Board of Directors ("Board") of DHB wishes to announce that the Company has on 30 July 2026 entered into a Share Sale Agreement ("SSA") with Mr. Ng Chee Chau ("NCC" or the "Purchaser") for the disposal of 9,540,600 ordinary shares, representing 60% of the entire issued share capital of Dataprep Payments Solutions Sdn. Bhd. ("DPS"), for a total disposal consideration of RM3.0 million ("Disposal Consideration") to be fully settled in cash ("Proposed Disposal").
