MMM GROUP BERHAD ("MMM" OR "COMPANY")

(I)	PROPOSED SHARE CONSOLIDATION; 
(II)	PROPOSED PRIVATE PLACEMENT;
(III)	PROPOSED RIGHTS ISSUE WITH WARRANTS; 
(IV)	PROPOSED ACQUISITION; AND
(V)	PROPOSED SHARE CAPITAL REDUCTION

(COLLECTIVELY, THE "PROPOSED REGULARISATION PLAN")

Unless otherwise defined, the definitions set out in the previous announcements in relation to the Proposed Regularisation Plan shall apply herein.

 

On behalf of the Board, M&A Securities wishes to announce that MMM had on 28 July 2026 entered into a letter of intent with the Vendors to revise certain terms of the SSA ("Variations") and intends to enter into a supplemental agreement to effect the same, subject to the successful outcome of the appeal by MMM in relation to the Proposed Regularisation Plan.
