(PROPOSED REGULARISATION PLAN, PROPOSED OTHER ACQUISITIONS, PROPOSED PRIVATE PLACEMENT II AND PROPOSED EXEMPTION II ARE COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

Reference is made to the Company's announcements dated 24 May 2021, 10 November 2021, 8 June 2022, 15 February 2023, 2 March 2023, 13 March 2023, 25 May 2023, 20 June 2023, 5 March 2025, 8 September 2025 and 5 November 2025 in relation to the Proposals ("Announcements"). Unless otherwise defined herein, all capitalised terms shall have the same meanings as defined in the Announcements.

 

The Board of Directors of PEB ("Board") wishes to announce that, on 27 April 2026, PEB received a letter from reNIKOLA Sdn Bhd ("reNIKOLA") informing that, after due consideration of the current status of the Proposals and the time period given for PEB to submit its Proposed Regularisation Plan by 30 June 2026, reNIKOLA has decided not to proceed with the Proposals.

 

In conjunction with the above, the Board has taken note of reNIKOLA's decision on the Proposals. Accordingly, the Board has decided not to proceed with the Proposals.

 

Following the above, the parties to the Proposals shall not have any claims against each other arising from or in connection with the Proposals.

 

The cessation of the Proposals is not expected to have any material effect on the earnings per share and net assets per share of PEB.
