We refer to the announcements dated 10 October 2025, 17 October 2025, 27 October 2025, 19 November 2025, 24 November 2025, 2 January 2026, 13 January 2026, 5 February 2026, 10 February 2026 and 11 February 2026 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the Board has on 23 February 2026 (“Price Fixing Date”) fixed the issue price for the second tranche of the Private Placement 1 at RM1.52 per Placement Share 1 (“Issue Price”).

The Issue Price represents a discount of RM0.0984 or 6.08% to the 5-day volume weighted average market price of Ge-Shen Shares up to and including 20 February 2026, being the last trading date immediately preceding the Price Fixing Date, of RM1.6184 per Share.
