Pursuant to Paragraph 9.19 (15) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Industronics Berhad (“ITRONIC” or “the Company”) wishes to announce that the Company had received a notice in writing dated 13 February 2026 from Messrs. SBY Partners PLT (“SBY”) of their resignation as the Auditors of the Company and Group with immediate effect, upon receipt of the Company’s letter informing SBY of its intention to change auditors.

The resignation of SBY is based on mutual consent and the Board of Directors of the Company (the "Board") is of the view that such change will enable the Company and Group to benefit from fresh perspectives and views of another professional audit firm.

Save for the above, the Board wishes to inform that the Company is not aware of any other matters or circumstances that may be required to be brought to the attention of the shareholders of ITRONIC.

With Board Audit Committee’s recommendation, the Board has approved to appoint Messrs. UHY Malaysia PLT after assessing their independence, capabilities, audit team and proposed audit fees for financial year ending 31 December 2025 in place of SBY subject to the Company receiving the written consent to act as Auditors of the Company from Messrs. UHY Malaysia PLT pursuant to Section 264 (5) of the Companies Act, 2016. The Company will announce further details once the written consent to act has been received.
