Reference is made to the Company’s earlier announcements dated 26 May 2025, 25 July 2025 and 7 August 2025 in relation to the Proposals (“Earlier Announcements”), circular to the shareholders dated 28 May 2025 for the Proposed Amendments and announcement dated 24 June 2025 in relation to the outcome of extraordinary general meeting for the Proposed Amendments. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.

On behalf of the Board, Malacca Securities wishes to announce that the SC had, vide its letter dated 5 February 2026, approved the Proposed Transfer under Section 214(1) of the Capital Markets and Services Act 2007. The SC also noted that Auto Count Sdn Bhd ("ACSB"), a wholly-owned subsidiary of ADB is a Malaysia Digital Status company which contributed more than 50% of ADB's after-tax profit for the audited financial year ended 31 December 2024. Accordingly, ADB is exempted from complying with the Bumiputera equity requirement for public listed companies (“Bumiputera Equity Requirements”) pursuant to the Proposed Transfer.

Nevertheless, Malacca Securities and ADB must immediately notify the SC if ACSB’s contribution to ADB’s after-tax profit falls below 50% for the most recent audited financial year prior to the Proposed Transfer. In such circumstances, ADB is required to comply with the Bumiputera Equity Requirements at the point of transfer. In addition, ADB must submit an application to the SC under the Bumiputera Equity Requirement for reassessment if ADB undertakes subsequent corporate proposals which would result in a significant change in the business direction or policy of ADB.
