On behalf of the Board of Directors of MMM, M&A Securities Sdn Bhd wishes to announce that the Company proposes to undertake a regularisation plan to regularise its financial condition in accordance with Paragraph 8.04(3) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, which comprises the following:-

(i) proposed share consolidation of every 10 existing shares in MMM ("MMM Share(s)") held by the shareholders of MMM on an entitlement date to be determined and announced later into 1 MMM Share (“Proposed Share Consolidation”);

(ii) proposed private placement of 9,339,000 new MMM Shares, representing approximately 30.00% of the total number of issued MMM Shares (“Proposed Private Placement”);

(iii) proposed renounceable rights issue of up to 323,753,936 new MMM Shares ("Rights Share(s)") on the basis of 8 Rights Shares for every 1 existing MMM Share held, together with up to 161,876,968 free detachable warrants (“Warrant(s)”) on the basis of 1 Warrant for every 2 Rights Shares subscribed for, by the entitled shareholders whose names appear in the record of depositors of the Company on an entitlement date to be determined later (“Proposed Rights Issue with Warrants”);

(iv) proposed acquisition of 500,000 ordinary shares in EDSB Outdoor Sdn Bhd (“EDSB”), representing 100.00% equity interest in EDSB by MMM, for a total purchase consideration of RM16,000,000 to be fully satisfied by way of cash (“Proposed Acquisition”); and

(v) proposed reduction of RM40,000,000 of the issued share capital of MMM pursuant to Section 116 of the Companies Act, 2016 (“Proposed Share Capital Reduction”).
