INTRODUCTION

The board of directors of Oppstar (“Board”) wishes to announce that the Company and its wholly owned subsidiary, AIRIS Labs Sdn Bhd (“AIRIS Labs”), had, on 29 August 2025 (which was received on 2 September 2025) entered into a memorandum of understanding with Inventec Corporation (“Inventec”) and AsicAI Co., Ltd. (“AsicAI”) (“MOU I”). AIRIS Labs had also, on 29 August 2025 (which was received on 2 September 2025) entered into a memorandum of understanding with AsicAI (“MOU II”).

MOU I and MOU II are collectively referred to as the “MOUs”

The MOUs are intended for the collaboration on the design and development of a next-generation artificial intelligence (“AI”) network processing chip/AI edge computing processor for advanced computing and networking servers, devices and applications (the “Project”).
