The Board of Directors of MMM (“Board”) wishes to announce that the Company has on 21 August 2025 entered into a Heads of Agreement (“HOA” or “the Agreement”) with Chong Yoke Lai and Gan Soon Choon (the “Vendors”) to acquire one hundred percent (100.00%) of the issued share capital of EDSB Outdoor Sdn Bhd (Company Registration No. 199701004891 (420387-M)) (“EDSB”), for an indicative purchase consideration of Ringgit Malaysia Sixteen Million (RM16 million), which will be fully satisfied by Ringgit Malaysia Fourteen Million (RM14 million) in cash and Ringgit Malaysia Two Million (RM2 million) in shares (“Purchase Consideration”) (“Proposed Acquisition”).
