1. INTRODUCTION

The Board of Directors of the Company wishes to announce that Imaspro Resources Incorporated (“IRI”), an indirect wholly-owned subsidiary of the Company, had been struck off from the Register pursuant to Section 93(2C) of the Labuan Companies Act 1990 (“LCA 1990”) on 20 June 2025.

2. INFORMATION ON STRIKING OFF ENTITY

IRI an indirect wholly-owned subsidiary of the Company with an issued share capital of USD10,000.

3. RATIONALE OF THE STRIKING OFF

Due to the company being dormant for the past few years, the management has decided to proceed with striking off the company from the register. This decision was made upon careful consideration, as the company has not carried out any business activities during this period and there are no future plans to resume operations.

4. FINANCIAL EFFECT

The striking off of IRI would not have any material effect on the earnings and net assets per share of the Group for the financial year ended 30 June 2025.

5. DIRECTORS’ AND/OR MAJOR SHAREHOLDERS’ INTEREST

None of the Directors and/or major shareholders of the Company have any interest, direct or indirect, in the above striking off other than through their respective shareholdings in the Company.

6. APPROVAL REQUIRED

The striking off of IRI is not subject to the approval of the shareholders of the Company.
