MATERIAL LITIGATION PURSUANT TO PARAGRAPH 9.04(F) OF THE BURSA MALAYSIA SECURITIES BERHAD MAIN MARKET LISTING REQUIREMENT

We refer to the announcements dated 30 December 2021, 10 January 2022, 19 January 2022, 31 January 2022, 2 March 2022, 8 March 2022, 24 March 2022, 31 March 2022, 15 April 2022, 25 April 2022, 9 May 2022, 20 May 2022, 24 May 2022, 31 May 2022, 7 June 2022, 14 June 2022, 28 June 2022, 25 July 2022, 9 August 2022, 26 August 2022, 20 December 2022, 3 November 2023 and 14 June 2024 ("Announcements") in relation to the civil claims by the Ministry of Environment and Forestry of Indonesia against PT Rafi Kamajaya Abadi ("PTRKA").

The Board of Directors of TDM Berhad (“TDM”) wishes to announce that TDM has been informed by its Indonesian subsidiary, PTRKA that PTRKA  signed a joint deal (Kesepakatan Bersama) with Kementerian Lingkungan Hidup Indonesia (“KLH”) on 8 July 2025 to voluntary execute the decision of Mahkamah Agung Indonesia related to a fire incident at its Kalimantan estate in 2019 as per announcement dated 3 November 2023 and 14 June 2024. The deal will see PTRKA complying to a cash penalty of IDR188,977,440,000.00 (approximately RM49.3 million) by 30 September 2025 and submitting a 3-year blueprint within 90 days to KLH on plans to rehabilitate 2,560 ha of land affected by the fire incident. Upon payment of the cash penalty, KLH will authorise the relevant authority to have PTRKA’s Sistem Administrasi Badan Hukum (SABH) reactivated accordingly.

As at the date of this Announcement, there is no material adverse impact on the operation of PTRKA and TDM’s current financial year.
