The Board of Directors ("Board") of GPP Resources Berhad ("GPP" or "the Company") wishes to announce that the Company had on 19 June 2025 received a notice in writing of even date from Messrs Moore Stephens Associates PLT (“MSA”) on their resignation as external auditors of the Company for the financial year ending 30 June 2025.

The resignation is due to the Company and MSA not being able to reach a consensus on the proposed increase in audit fees for the financial year ending 30 June 2025.

The Board confirms that, to the best of their knowledge, there are no other matters that need to be brought to the attention of the shareholders of the Company in relation to the resignation of the external auditors.

The Company is in the midst of identifying a suitable replacement to fill the vacancy and will make an appropriate announcement once the new external auditors are appointed, in accordance with Section 271(2)(b) of the Companies Act 2016.

Pursuant to Section 281(2) of the Companies Act 2016, the resignation of MSA shall be effective upon the appointment of new auditors by the Company.
