The Board of Directors of NVB wishes to announce that Notion Industrial Technology (Dongguan) Limited (“NITD”), an indirect owned dormant subsidiary of the Company duly incorporated in the People’s Republic of China, had submitted an application for striking off to the State Administration for Market Regulation (“SAMR”), the People’s Republic of China. NITD had been successfully struck off from the Register of Companies, the People’s Republic of China, with effective on 29 May 2025, pursuant to the notice dated 29 May 2025 issued by SAMR (“Striking Off”).

NITD was incorporated on 10 May 2024 with a registered capital of RMB2,000,000. Since its incorporation, no capital contributions have been made and NITD has not commenced any business operations.

The Striking Off will not have any material impact on the net assets and earnings per share of the NVB Group for the financial year ending 30 September 2025.

None of the Directors and/or substantial shareholders of the Company, or persons connected to such director and /or substantial shareholders has any interest, direct or indirect in the Striking Off.
