Reference is made to our announcements on 21 February 2025 and 17 April 2025.

Further to the announcement on 21 February 2025, the Board of Directors of the Company wishes to announce that Mudajaya Corporation Berhad (“MCB”), a wholly owned subsidiary of the Company, has reached a mutual settlement with THB Power Sdn Bhd (“THB”) in relation to the Winding-Up Petition No. WA-28NCC-187-02/2025. Pursuant to the settlement, THB has acknowledged and admitted the undisputed sum of RM 52,671,401.55. THB has filed an affidavit to this effect on 30 May 2025.

The Company has received the first tranche of payment together with interest, amounting to RM27,329,790.51. The final tranche of payment with interest amounting to RM 27,902,335.85 is expected to be made by 28 August 2025, after which MCB shall apply to the Court to withdraw the winding petition. With regards to the balance sum of RM7,954,368.10 which is currently under dispute, MCB and THB shall continue to negotiate to reach an amicable settlement, failing which MCB reserves the right to file a separate legal action against THB for recovery.

The Court has allowed MCB’s request for an adjournment today, pending receipt of the final tranche of payment from THB. The next hearing date has been fixed for 12 September 2025 at 9:00 A.M.

Further to the announcement on 17 April 2025, regarding a Writ of Summons (Suit No. WA-22C-22-04/2025) filed by THB in the Kuala Lumpur High Court on 14 April 2025, THB has withdrawn the suit on 30 May 2025 without liberty to file afresh.

The Board and Management of the Company will make further announcements to Bursa Malaysia Securities Berhad as required and/or upon receipt of further directions from the Court.
