The Board of Directors of China Ouhua (“Board”) wishes to update that the land title ownership has been successfully transferred to Yantai Fazenda Ouhua Winery Co., Ltd. (“Yantai Ouhua”).

Yantai Ouhua has been issued a certificate from Huangwu Subdistrict Office, Zhifu District, Yantai City, PRC (Local Government), that stated the land purchase transaction has been completed and all consideration have been paid.

Certificate

The industrial land and factory located at No. 3 Wolong North Road, Zhifu District, have been purchased by Yantai Ouhua. The original land area was about 40 Mu, with a building area of approximately 12,600 square meters. Later, due to Local government planning for municipal roads and green spaces, about 14 Mu(about 9,200 square meters) of the land was occupied, and about 630 square meters of buildings were demolished. Currently, the remaining land area is approximately 26 Mu(about 17,400 square meters), with a building area of about 12,000 square meters.

The purchasing parties completed all transactions and transfer procedures in June 2024.The purchasing party has obtained the real estate certificate, all payments have been settled, there are no economic disputes existed, and both parties have completed the handover.

The above situation is true and accurate. This certificate is hereby issued.

Based on the certificate from the Local Government, the Board of China Ouhua confirmed that total consideration of the purchase of the land and building is RMB119,082,000 which has been recorded in the Yantai Ouhua's accounts, paid and finalised.

The Board of Directors will strive to push the company forward to new developments, seeking good industrial partnerships to bring new opportunities for the Company.
