The Board of Directors of Bina Darulaman Berhad (BDB) wishes to inform the progress of the following media release dated 8 August 2024 (GA1-04082024-00001) of Bina Darulaman Berhad venture into Silver Economy with Elder Care Services in Langkawi, as follows:

1. Aman Lagenda Sdn Bhd (ALSB) (Company No. 201401040611 (1116761-P)), a wholly owned subsidiary of Bina Darulaman Berhad (BDB) has entered into a Joint Venture cum Shareholders Agreement (JVSA) dated 17 April 2025 with Seterra Holdings Sdn Bhd (Seterra) (Company No. 202001040621 (1396942-P)) to establish a joint venture company to develop land as a premier international retirement and senior living and assisted living facility (the Project).
2. The JVSA is subject to and conditional upon the fulfilment of all Condition Precedents (CPs) stated within the JVSA, where both ALSB and Seterra have committed to taking necessary steps to fulfil the CPs in the JVSA.  
3. The cut-off date for the CPs is six (6) months from the date of the JVSA, with an automatic extension of a further six (6) months thereafter.

The Company will provide regular updates on the progress of the JVSA.
