Reference is made to the announcement dated 10 March 2025 in relation to the Proposed Transfer of Listing.

On behalf of the Board of Directors of Manforce ("Board"), M & A Securities Sdn Bhd ("M&A Securities") wishes to announce that the Board (save for Dato' Wong Boon Ming ("Dato Wong") and Datin Lim Gun Kiau, being a spouse and person connected to Dato' Wong) had deliberated the Proposal Letter and agreed to undertake the Proposed Transfer of Listing which entails the following:

 (a) proposed voluntary withdrawal of listing of Manforce from the LEAP Market of Bursa Securities pursuant to Rules 8.05 and 8.06 of the LEAP Market Listing Requirements of Bursa Securities ("Proposed Withdrawal"); and

(b) proposed listing of and quotation for the entire enlarged issued share capital of Manforce on the ACE Market of Bursa Securities pursuant to Rules 3A.02(1) and 3A.02(2) of the ACE Market Listing Requirements of Bursa Securities ("Proposed Listing").

To facilitate the implementation of the Proposed Transfer of Listing, the Company proposes to adopt a new Constitution of the Company to replace the existing Constitution in its entirety to be in line with the ACE Market Listing Requirements of Bursa Securities (“Proposed Adoption”).

(The Proposed Transfer of Listing and Proposed Adoption are collectively referred to as the "Proposals")
