The Board of Directors of CAM wishes to announce that CAM had on 13 January 2025 entered into Share Sale Agreement ("SSA") for disposal of 70% of the equity interest of its wholly-owned subsidiary, Naprogen Sdn. Bhd. [Registration No. 199601021834 (394186-U)] ("Naprogen") with the following parties:

SSA1 - 40% Equity Interest

Mitkado Agro Sdn. Bhd. [Registration No. 200801008129 (809415-A)], a company incorporated under the laws of Malaysia having its business address at Lot 9763, Kampung Lubuk Chapin, Kati 33020 Kuala Kangsar, Perak and registered address at No. 8A-10A, Taxation House, Jalan Medan Ipoh 1B, Medan Ipoh Bistari, 31400 Ipoh, Perak in respect of acquiring the 36,480 ordinary shares in Naprogen, representing 40% of the issued and paid up share capital of Naprogen for a total purchase consideration of RM34,285.71 only.

SSA 2 - 30% Equity Interest

Lee Chin Leng [NRIC No. 761027-08-5013], a Malaysian citizen of full age having an address at No.17, Jalan Taman Pengkalan Makmur, Taman Pengkalan Makmur 34000 Taiping, Perak in respect of acquiring the 27,360 ordinary shares in Naprogen, representing 30% of the issued and paid up share capital of Naprogen for a total purchase consideration of RM25,714.29 only.

The SSA 1 and SSA 2 (collectively referred to as “the Proposed Disposal”) are conditional upon each other on completion.

With the Proposed Disposal, Naprogen will cease to be wholly-owned subsidiary of CAM and become an associate company of CAM.
