Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in the offer document dated 19 December 2024 (“Offer Document”) which sets out the details, terms and conditions in relation to the Offer.

Reference is made to the Company’s announcement dated 28 November 2024 in relation to the Offer and the Offer Document.

The Board wishes to announce that the Company has today received a press notice from Public Investment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on Thursday, 9 January 2025 (“Closing Date”).

As at 5.00 p.m. (Malaysian time) on the Closing Date, the Offeror and its PACs hold in aggregate, valid acceptances together with such LPI Shares that are already acquired, held or entitled to be acquired or held of 197,480,783 LPI Shares, representing approximately 49.57% of the total issued LPI Shares. The Offeror did not receive valid acceptances of the Offer Shares which would result in the Offeror and its PACs holding in aggregate more than 50% of the voting shares of LPI. As such, the Acceptance Condition has not been fulfilled.

Accordingly, the Offer has lapsed and ceased to be capable of further acceptances and all acceptances shall be returned to the Accepting Holders and the Offeror will thereafter cease to be bound by any such prior acceptances of the Offer.

In accordance with paragraph 13.01 of the Rules, the detailed disclosure of the level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the attached press notice.
