Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s announcements dated 9 April 2024 and 24 April 2024. 


Further to the announcements on 9 April 2024 and 24 April 2024, the Board of Director of Ralco (“Board”) wishes to announce that the wholly owned subsidiary of Ralco Group, namely Ralco Compounding Sdn. Bhd. (“RCSB”) and Ralco Plastic Sdn. Bhd. (“RPSB”) had on 31 December 2024 entered into the Addendum Agreements for the following transactions:-


a) to extend the loan repayment period for another two (2) years and three (3) months i.e. from 30 September 2025 to 31 December 2027, for the existing Acknowledgment of Debts (“Loan Agreements”) / Addendum Agreements entered on 30 September 2019 / 9 April 2024 respectively in relation to the interest free loan granted by the Lender(s):- 


(i) RM300,000 granted by Akar Prestij Sdn. Bhd. (“Akar Prestij”) to RCSB.

(ii) RM500,000 granted by Newaction Marketing Sdn. Bhd. (“Newaction”) to RCSB.

(iii) RM140,000 granted by Peranan Sepakat Sdn. Bhd. (“Peranan Sepakat”) to RCSB.

(iv) RM14,350,000 granted by Newaction to RPSB.

(v) RM200,000 granted by Jayamas Daya Sdn. Bhd. (“Jayamas Daya”) to RPSB.


[Collectively referred to as “Transaction 1” or “T1”]


b) to extend the loan repayment period for another two (2) years i.e. from 31 December 2025 to 31 December 2027, for the interest free loan of RM3,450,000 granted by Newaction to RPSB [“Transaction 2” or “T2”].
