We refer to the Company’s announcements dated 26 September 2024, 29 October 2024, 14 November 2024, 29 November 2024 and 24 December 2024 in relation to the Proposals (“Announcements”). Unless otherwise defined, all definitions used herein are as defined in the Announcements.
On behalf of the Board, Affin Hwang Investment Bank Berhad wishes to announce that following the fulfilment of payment for the purchase consideration of the EF Acquisition, the EF SSA (as supplemented by the EF Supplemental SSA) are completed on 27 December 2024. As a result, the shareholders’ agreement between DPI, EF and the remaining shareholders of EF Group is effective from the same day as well.
Further, following the above, the EF Acquisition is completed on 27 December 2024 and the Diversification is effective from the same day as well.
For clarification, the Warehouse Acquisition has yet to be completed as it is pending the fulfilment of the condition precedent in the Warehouse SPA. Further announcement on the completion of the Warehouse Acquisition will be made in due course.
