INTRODUCTION

The board of directors of Elsoft (“Board”) wishes to announce that the Company had on 10 December 2024 entered into a share sale agreement (“SSA”) with Ang Aik Beng and Tan Hui Ien @ Tan Kui Yen (“Purchasers”) for the proposed disposal of 30,000 ordinary shares in Xyrius Solutions Sdn Bhd (“Xyrius”) (“Xyrius Shares” or “Sale Shares”), a wholly owned subsidiary of Elsoft, representing 100% equity interest in Xyrius for a total cash consideration of RM7,320,000 (“Disposal Consideration”) (“Proposed Disposal”).
