ISSUANCE OF 196,152,700 FREE WARRANTS IN HAILY GROUP BERHAD ("HAILY") ("WARRANT(S)") ON THE BASIS OF 1 WARRANT FOR EVERY 2 EXISTING ORDINARY SHARES IN HAILY ("SHARE(S)") HELD BY THE SHAREHOLDERS OF HAILY WHOSE NAMES APPEAR IN THE RECORD OF DEPOSITORS OF THE COMPANY AS AT 5.00 P.M. ON 4 OCTOBER 2024 ("FREE WARRANTS ISSUE")
Each Warrant carries the entitlement to subscribe for 1 new Share at the exercise price of RM0.26 at any time during the exercise period (as indicated above) ("Exercise Period"), subject to any adjustments that may be made from time to time in accordance with the provisions of the deed poll constituting the Warrants dated 19 September 2024. Any Warrant not exercised during the Exercise Period will thereafter lapse and cease to be valid and shall be cancelled and treated to have been cancelled forthwith. If the maturity date of the Warrants falls on a non-market day, then it will fall on the preceding market day. This announcement is dated 10 October 2024.
