We refer to the announcements dated 29 September 2023, 27 October 2023, 20 November 2023, 30 November 2023, 1 December 2023, 9 January 2024, 16 January 2024, 27 March 2024, 10 May 2024, 4 July 2024 and 11 July 2024 in relation to the Proposals ("Announcements"). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, Kenanga IB is pleased to announce that Bursa Securities had, vide its letter dated 5 September 2024, approved the application for the Proposed Withdrawal of Listing pursuant to the Proposed Transfer of Listing.

In this regard, Kenanga IB is required to furnish Bursa Securities with a letter ("Kenanga IB's Confirmation Letter"), confirming the following:

(i) that the details of the shareholders of SCRB, including their direct and indirect shareholdings (in numbers and percentage) as at 25 October 2023 as disclosed in Kenanga IB's letter dated 27 October 2023 remain unchanged as at the date of Kenanga IB's Confirmation Letter, save for the Bonus Shares to be issued pursuant to the Proposed Bonus Issue of Shares (as defined in SCRB's circular dated 16 January 2024);

(ii) that the requirements of Rule 8.06(1) of the LEAP Market Listing Requirements have been complied with or waived by Bursa Securities, as the case may be;

(iii) that all conditions, including conditions imposed by the relevant authorities which are required to be met prior to the delisting have been met; and

(iv) that there are no circumstances or facts which have the effect of preventing or prohibiting the delisting including any order, injunction or any other directive issued by any court of law.

Further, SCRB is required to announce, 5 clear market days before the effective date of suspension, the following:

(i) the trading in SCRB Shares on the LEAP Market of Bursa Securities will be suspended 1 market day before the date of allotment of the new SCRB Shares to be issued pursuant to the Proposed Listing until the completion of the Proposed Listing; and 

(ii) the effective date of suspension.
