ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2022/2027 OF CWG HOLDINGS BERHAD ("CWG" OR THE "COMPANY") ("WARRANT(S)") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 14 FEBRUARY 2022 CONSTITUTING THE WARRANTS ("DEED POLL") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 147,317,119 NEW ORDINARY SHARES IN CWG ("CWG SHARE(S)" OR "SHARE(S)") ("RIGHTS SHARE(S)") AT THE ISSUE PRICE OF RM0.18 PER RIGHTS SHARE, ON THE BASIS OF 3 RIGHTS SHARES FOR EVERY 5 EXISTING CWG SHARES HELD AS AT 5.00 P.M. ON MONDAY, 9 SEPTEMBER 2024 ("RIGHTS ISSUE") ("ADJUSTMENTS")

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 06 Sep 2024
2) The last date of lodgment : 09 Sep 2024

Remarks :

The Notice of Book Closure in relation to the Rights Issue had been announced by the Company separately today.

Holders of outstanding Warrants ("Warrant Holders") who wish to be entitled to the Rights Shares should exercise their Warrants into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, on or before 5.00 p.m. on 30 August 2024. This is to enable the new Shares arising from such exercise to be allotted to the respective Warrant Holders such that their names will appear on the Record of Depositors of the Company by 5.00 p.m. on 9 September 2024.

The Warrant Holders who have not exercised their outstanding Warrants by 5.00 p.m. on 30 August 2024 and whose names appear in the Record of Depositors for the outstanding Warrants as at 5.00 p.m. on 9 September 2024 would be entitled to the Adjustments.

The entitlement ratio indicated above is for illustration only based on the Maximum Additional Warrants Scenario as set out in the circular to shareholders of the Company in relation to, amongst others, the Rights Issue dated 5 July 2024. The actual number of additional Warrants to be issued and the adjusted exercise price of the Warrants pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the Rights Shares on the Main Market of Bursa Malaysia Securities Berhad.

The additional Warrants will be listed and quoted simultaneously with the Rights Shares. The notice to Warrant Holders (setting out details of the Adjustments) and the notice of allotment for the additional Warrants will be despatched in due course.
