We refer to the announcements dated 14 August 2023, 15 August 2023, 23 October 2023, 28 December 2023, 28 February 2024, 29 March 2024, 1 April 2024, 15 July 2024, 31 July 2024 and 12 August 2024 in relation to the Proposals (“Announcements”). Unless stated otherwise, definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the SC had, vide its letter dated 13 August 2024 which was received on even date, approved the resultant equity structure of the Company under the equity requirement for public listed companies pursuant to the Proposed Transfer, subject to the following conditions:

(i) CRG allocating shares equivalent to 12.5% of its enlarged number of issued shares to Bumiputera investors to be approved by MITI in conjunction with the Proposed Transfer; and

(ii) CRG to make available at least 50% of shares offered to the Malaysian public investors via balloting to Bumiputera public investors.

Save for the approval from Bursa Securities for the Proposed Withdrawal of Listing which is still pending, CRG has fulfilled all other Pre-Conditions. 

For the information of CRG’s shareholders, the Proposed Exit Offer will only be implemented by the Joint Offerors once all the Pre-Conditions have been fulfilled.
