Unless otherwise stated, all abbreviations used herein shall have the same meaning as defined in the offer document in relation to the Offer dated 18 June 2024 (“Offer Document”).

Reference is made to the Offer Document which sets out the details, terms and conditions of the Offer.

The Board of Directors of GHL wishes to announce that GHL has on 9 July 2024, received the press notice from CIMB, on behalf of the Offeror (“Press Notice”), that based on the level of acceptances of the Offer as at 5:00 p.m. (Malaysian time) on 9 July 2024, the Offeror has received valid acceptances of not less than nine-tenths (9/10) in the nominal value of the Offer Shares (excluding Shares already held by the Offeror and the PACs as at the date of the Offer).

As such, the Offeror will invoke the provisions of subsection 222(1) of the CMSA to compulsorily acquire any remaining Offer Shares from the Dissenting Holders. All the Offer Shares that are compulsorily acquired will, subject to subsection 224(1) of the CMSA, be acquired on the same terms as set out in the Offer Document and in accordance with subsection 222(1) of the CMSA.

Accordingly, the Offeror will issue a compulsory acquisition notice under subsection 222(1) of the CMSA which will be despatched to all Dissenting Holders within 2 months from 9 July 2024.

Notwithstanding the above, as per the press notice from CIMB dated 5 July 2024, the Offer will remain open for acceptances until 5:00 p.m. (Malaysian time) on Tuesday, 23 July 2024.
