Reference is made to the Company’s announcement made on 20 April 2023, 15 June 2023 and 5 July 2023. All abbreviations used throughout this announcement shall have the same meanings as defined in the announcement dated 20 April 2023, 15 June 2023 and 5 July 2023 where applicable, unless stated otherwise or defined herein.

The Board of Directors of JCB wishes to announce that CASB had on 26 July 2023 received a sealed order for Appointment of Interim Liquidator dated 24 July 2023 from Messrs. Ramesh Dipendra Jeremiah Law which ordered as follows:-

1. That Dato’ Raveedra Kumar A/L Nathan (NRIC No. 621117-10-7357) of RKN & Co be appointed as the interim liquidator of CASB, the Respondent above-named, pursuant to Section 476 of the Companies Act 2016 (“the Act”), until the making of a winding-up Order herein (“Interim Liquidator”);

2. That the Interim Liquidator shall have and may exercise all functions and powers of a liquidator conferred by Section 476 of the Act and as specified in the Twelfth Schedule of the Act, for the purposes of maintaining the status quo and preserving the properties and assets of the Respondent, pending disposal of the winding-up Petition herein;

3. Without prejudice to paragraph 2 above, the Interim Liquidator shall take possession and control of the following properties and assets of the Respondent:

3.1 All that piece of land held under Geran 256947, Lot 53843, Mukim Kluang, Daerah Kluang, Negeri Johor, together with all buildings and fixtures thereon (bearing postal address at No. 18, Jalan 20, Taman Sri Kluang, 86000 Kluang, Johor);

3.2 All that piece of land held under Geran 256949, Lot 53844, Mukim Kluang, Daerah Kluang, Negeri Johor, together with all buildings and fixtures thereon (bearing postal address at No. 20, Jalan 20, Taman Sri Kluang, 86000 Kluang, Johor);

3.3 All that piece of land held under Geran HSD 4135, PTB 2274, Bandar Kluang, Daerah Kluang, Negeri Johor, together with all buildings and fixtures thereon (bearing postal address at No. 22, 24, 26, 28 and 30, Jalan Bakau, Taman Sri Kluang, 86000 Kluang, Johor);

3.4 All plants and machineries, office equipment and furniture and fittings, and inventories of the Respondent;

3.5 All monies held in bank account(s) in the credit of Respondent;

3.6 All trade receivables and all outstanding sums due by the Respondent’s debtors; and

3.7 All other immovable and movable properties and all other assets of the Respondent, including things in action;

4. That all costs and expenses for this application be costs in the cause; and

5. That the Petitioner be at liberty to apply.
