The Notice of Book Closure in relation to the Rights Issue of Shares with Warrants had been announced by the Company separately on 14 January 2022. Pursuant to the Rights Issue of Shares with Warrants, the exercise price and number of outstanding Warrants D (which are not exercised into new Vizione Shares prior to the Entitlement Date) shall be adjusted in accordance with the provisions of the Deed Poll (Adjustments). Holders of Warrants D who wish to be entitled to the Rights Issue of Shares with Warrants as the Companys shareholders shall exercise their rights to subscribe for new Vizione Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar of Vizione (at the address stated above) on or before 5.00 p.m. on Friday, 21 January 2022 such that their names will appear on the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date. Entitled holders of Warrants D who have not exercised their outstanding Warrants into Vizione Shares and whose names appear in the Record of Depositors of the Company for the outstanding Warrants D at 5.00 p.m. on the Entitlement Date would be entitled to the Adjustments (Entitled Warrants D Holders). The entitlement ratio indicated above is for illustration only based on the latest issued share capital of the Company and assuming all entitled shareholders subscribe for their respective entitlements under the Rights Issue of Shares with Warrants (under the Base Case Scenario set out in the circular to Vizione shareholders dated 7 October 2021). The actual number of additional Warrants D to be issued and the adjusted exercise price of Warrants D pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the additional Warrants D on the Main Market of Bursa Malaysia Securities Berhad (Bursa Securities). The additional Warrants D will be listed and quoted simultaneously with the Rights Shares and Warrants E on the Main Market of Bursa Securities. The notice setting out the details of the Adjustments will be issued and despatched to the Entitled Warrants D Holders in due course. This announcement is dated 14 January 2022. |
