ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2017/2022 IN BIOALPHA HOLDINGS BERHAD ("BIOALPHA") AS CONSTITUTED BY THE DEED POLL DATED 23 NOVEMBER 2016 ("DEED POLL") ("WARRANTS") PURSUANT TO THE:

(I) RENOUNCEABLE RIGHTS ISSUE OF UP TO 83,335,241 NEW ORDINARY SHARES IN BIOALPHA ("BIOALPHA SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.20 EACH ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 15 EXISTING BIOALPHA SHARES HELD AS AT 5.00 P.M. ON 23 APRIL 2021; AND

(II) RENOUNCEABLE RIGHTS ISSUE OF UP TO 208,338,103 NEW IRREDEEMABLE CONVERTIBLE PREFERENCE SHARES IN BIOALPHA ("ICPS") ("RIGHTS ICPS") AT AN ISSUE PRICE OF RM0.02 EACH ON THE BASIS OF 1 RIGHTS ICPS FOR EVERY 6 EXISTING BIOALPHA SHARES HELD AS AT 5.00 P.M. ON 23 APRIL 2021 (COLLECTIVELY, THE "RIGHTS ISSUES")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 22 Apr 2021
2)  The last date of lodgment : 23 Apr 2021
 

Remarks :
The Notice of Book Closure in relation to the Rights Issues had been announced by the Company separately today.

Pursuant to the Rights Issues, the exercise price and number of outstanding Warrants (which are not exercised into new Bioalpha Shares prior to the Entitlement Date) shall be adjusted in accordance with the provisions of the Deed Poll ("Adjustments").

Holders of Warrants who wish to be entitled to the Rights Issues as the Companys shareholders shall exercise their rights to subscribe for new Bioalpha Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar of Bioalpha (at the address stated above) on or before 5.00 p.m. on Tuesday, 13 April 2021 such that their names will appear on the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date.

Entitled holders of Warrants who have not exercised their outstanding Warrants into Bioalpha Shares and whose names appear in the Record of Depositors of the Company for the outstanding Warrants at 5.00 p.m. on the Entitlement Date would be entitled to the Adjustments ("Entitled Warrants Holders").

The entitlement ratio indicated above is for illustration only based on the latest issued share capital of the Company and assuming all entitled shareholders subscribe for their respective entitlements under the Rights Issues. The actual number of additional Warrants to be issued and the adjusted exercise price of Warrants pursuant to the Adjustments shall be finalised at a later date prior to the listing of and quotation of the additional Warrants on the ACE Market of Bursa Malaysia Securities Berhad ("Bursa Securities").

The additional Warrants will be listed and quoted simultaneously with the Rights Shares and Rights ICPS on the ACE Market of Bursa Securities. A notice of allotment or an electronic notice of allotment of the additional Warrants will be despatched. The notice setting out the details of the Adjustments will be issued and despatched to the Entitled Warrants Holders in due course.
