Unless otherwise stated, all definitions used in this announcement shall have the same meanings as defined in the announcements dated 12 February 2020, 24 February 2020, 28 February 2020, 2 April 2020, 10 April 2020, 6 May 2020, 2 June 2020 24 June 2020, 20 July 2020, 11 August 2020, 12 August 2020, 16 October 2020, 10 November 2020 and 13 November 2020.

The Board of TAG wishes to announce that the Company has received the attached press notice from TA Securities, acting on behalf of TAE, that the shareholders of TAE have approved the Offer and the Subscription by passing the resolutions in relation to the Offer and the Subscription at the extraordinary general meeting convened on 30 November 2020.

Accordingly, the last condition for the Offer has been fulfilled and the Offer has become unconditional on 30 November 2020 (“Unconditional Date”).

Pursuant to Paragraph 12.05(2)(a) of the Rules, the Offeror shall keep the Offer open for acceptances for at least another fourteen (14) days from the Unconditional Date.

Accordingly, on behalf of the Offeror, TA Securities wishes to inform that, unless extended, the Offer shall remain open for acceptances until 5.00 p.m. (Malaysian time) on Monday, 14 December 2020.

Save for the above, all other details, terms and conditions of the Offer as set out in the Offer Document remain unchanged.
