| Subject | Independent Advice Circular to the Holders of the Offer Shares in relation to the Conditional Voluntary Take-Over Offer by TA Enterprise Berhad (Offeror) through TA Securities Holdings Berhad to acquire all the remaining ordinary shares in TA Global Berhad not already held by the Offeror for a consideration of RM0.28 per offer share which shall be satisfied by way of (I) A Cash Consideration of RM0.28 for every 1 offer share surrendered or (II) A Share Exchange based on an exchange ratio of 0.4275 new ordinary share in TA Enterprise Berhad to be issued at an issue price of RM0.655 each for every 1 offer share surrendered |
