Reference is made to our announcements dated 17 September 2020 and 2 November 2020 in relation to the offering of 70,000,000 European-style non-collateralised cash-settled call warrants over the ordinary shares of COMFORT (“Existing Issue”) and 12 November in relation to the proposed further issue of up to 50,000,000 European-style non-collateralised cash-settled call warrants over the ordinary shares of COMFORT (“Further Issue”).

The purpose of the Further Issue is to facilitate the market making process of the Existing Issue. The Further Issue will form part of the Existing Issue and the terms and conditions of the Further Issue will be identical with the Existing Issue.

The COMFORT-CC is constituted by the Deed Poll dated 5 April 2017 executed by us, as supplemented from time to time. The COMFORT-CC is subject to terms and conditions of the Base Prospectus dated 18 May 2020, the First Supplementary Base Prospectus dated 9 October 2020, the Existing Issue Term Sheet dated 17 September 2020 and 2 November 2020 and the Further Issue Term Sheet dated 19 November 2020.

The COMFORT-CC will be listed on the Structured Warrants Board of Malaysia Securities Berhad and issued by KIBB under the Base Prospectus dated 18 May 2020 and the First Supplementary Base Prospectus dated 9 October 2020.
