Reference is made to our announcements dated 10 August 2020 in relation to the offering by RHBIB of up to 40,000,000 non-collateralised European-style cash settled call warrants over ordinary shares of DPHARMA (“Existing Issue”), 19 October 2020 and 20 October 2020 in relation to the further issue by RHBIB of up to 20,000,000 non-collateralised European-style cash settled call warrants over ordinary shares of DPHARMA (“Further Issue”) by way of market making.

The purpose of the Further Issue is to facilitate the market making process of the Existing Issue. The Further Issue will form part of the Existing Issue and the terms and conditions of the Further Issue will be identical with the Existing Issue.

The DPHARMA-CC is to be listed on the Structured Warrants Board of Bursa Malaysia Securities Berhad.

The DPHARMA-CC is constituted by the Deed Poll dated 22 October 2019. The DPHARMA-CC is subject to the terms and conditions of the Base Prospectus dated 24 October 2019, First Supplementary Base Prospectus dated 9 June 2020, Second Supplementary Base Prospectus dated  30 September 2020, the Existing Issue Term Sheet dated 10 August 2020 and the Further Issue Term Sheet dated 22 October 2020.
