References are made to the Prospectus of the Company dated 27 February 2026 ("Prospectus") which disclosed Sunway Medical Centre Putrajaya as one of the Company's planned projects and the Company's announcements dated 22 July 2026 and 30 September 2026 ("Announcements") in relation to the Supplemental Heads of Agreements, pursuant to which the term of the Heads of Agreement dated 23 April 2025 in relation to the Proposed Joint Venture was extended to 31 October 2026. Unless otherwise defined herein, all terms used herein shall have the same meanings as defined in the Prospectus and the Announcements.

The Board of Directors of SHH, wishes to announce that Sunway Healthcare Ventures Sdn Bhd, a wholly-owned subsidiary of SHH, has on 21 October 2026, entered into a Joint Venture and Shareholders Agreement with Tapak Senja Sdn Bhd, a wholly-owned subsidiary of Putrajaya Holdings Sdn Bhd ("PjH") for a joint venture in relation to the construction and lease of a multi-specialty tertiary private hospital in Putrajaya on a parcel of freehold land measuring approximately 2.5 acres held under Geran 9849, Lot 10007, Presint 7, Bandar Putrajaya, Wilayah Persekutuan Putrajaya (previously held under H.S.(D) 14178, PT 15418, Presint 7, Bandar Putrajaya, Wilayah Persekutuan Putrajaya), together with the execution of Parent Company Guarantees.
