On behalf of the Board, CGS MY wishes to announce that Mi Material had on 5 October 2026 lodged a preliminary prospectus in connection with the Proposed Listing with the Monetary Authority of Singapore (the "MAS").
The preliminary prospectus has been made available to the public at the MAS's OPERA website at https://eservices.mas.gov.sg/opera/.
The Company wishes for shareholders of the Company and investors to note the following that is set out in the preliminary prospectus which relates to the expected financial results of Mi Material Group for the three-month period ended 30 September 2026 - Mi Material's revenue is expected to increase by 15.6% or USD5.1 million) from USD32.7 million for the three-month period ended 30 June 2026 to USD37.8 million for the three-month period ended 30 September 2026. This was primarily due to an increase in sales volume across all product categories in line with the seasonal trend that Mi Material has observed where the demand for its products from customers generally tends to be higher in the second half of a year. A similar proportion of specialty alloys and fine-pitch solder spheres was sold during the three-month period ended 30 September 2026 as compared to the three-month period ended 30 June 2026, and accordingly the expected gross profit margin of Mi Material for the three-month period ended 30 September 2026 of 47.5% remains relatively stable when compared with the previous quarter ended 30 June 2026 where the gross profit margin was at 48.0%. Consistent with the higher level of business activity during the three-month period ended 30 September 2026, Mi Material expects to see an increase in its profit before tax from the three-month period ended 30 June 2026.
The lodgement is not to be taken as an indication of the merits of the Proposed Listing, Mi Material or its subsidiaries, or Mi Material Shares.
Accordingly, shareholders of the Company and investors should note that the preliminary prospectus remains subject to review by the relevant regulatory authorities and may be amended, supplemented or updated. There is no assurance that the form and details of the Proposed Listing will be the same as has been announced by the Company. No offer or agreement may be made on the basis of the preliminary prospectus for any securities of Mi Material.
A final prospectus in relation to the offering in connection with the Proposed Listing will be made available at the time it is duly registered by the MAS when the offering in connection with the Proposed Listing is made.
Shareholders of the Company and investors should therefore exercise caution when dealing with the securities of the Company. Shareholders of the Company and potential investors are advised to seek appropriate professional advice when dealing in the shares and securities of MiTB, and to refrain from taking any action in respect of their investments which may be prejudicial to their interests.
MiTB will announce, as and when appropriate, any material developments in respect of the Proposed Listing.
This announcement is dated 5 October 2026.
