DEVIATION OF 10% OR MORE BETWEEN ACTUAL AND ESTIMATED VALUE OF A RECURRENT RELATED PARTY TRANSACTION
Reference is made to the mandate obtained from the shareholders of the Company at the 62nd Annual General Meeting ("62nd AGM") held on 25 May 2026 for the Company and its subsidiaries ("GUH Group") to enter into the Recurrent Related Party Transactions ("RRPT") of a revenue or trading nature which are necessary for day-to-day operations and in the ordinary course of business of GUH Group, as set out in the Circular to Shareholders dated 24 April 2026 ("Circular").
Pursuant to Paragraph 10.09(2)(e) of the Main Market Listing Requirements, the Board of Directors of GUH wishes to announce that the actual value of the RRPT entered between its wholly-owned subsidiary, GUH Circuit Industry (PG) Sdn. Bhd. ("GUH PG") and Kiyamas Eastern Drill Sdn. Bhd. ("KEDSB") has exceeded the estimated value of RRPT disclosed in the Circular by more than 10%.
