Reference is made to the Company's announcements dated 11 April 2025, 11 July 2025, 10 October 2025, 9 January 2026, 10 April 2026 and 10 July 2026 in relation to the Memorandum of Understanding entered into between the Company with Shenzhen Yuanchao Logistics Technology Co., Ltd. ("Shenzhen Yuanchao") ("MOU") to collaborate and leverage each party's capabilities and strengths by exchanging information and best practices in e-commerce supply chain.

KGW wishes to announce that, as of to date, there has been no material development pertaining to the said MOU. After careful consideration, the Board is of the view that it is no longer feasible to continue the cooperation or collaboration under the said programme.

Pursuant to Article 6.2 of the MOU, either party may terminate the MOU unilaterally at any time by giving 30 calendar days' prior written notice to the other party. In this regard, the Company had on 18 July 2026 issued a written notice of termination to Shenzhen Yuanchao and, accordingly, the termination of the MOU takes effect on 17 August 2026 ("Termination of MOU").

The Termination of MOU is not expected to have any effect on the earnings per share, net assets per share and gearing of the Company and its subsidiaries ("Group") for the financial year ending 31 December 2026.

The Board, having taken into consideration all aspects of the Termination of MOU, is of the opinion that the Termination of MOU is made in the best interests of the Group.
