The Board of Directors of Jetson wishes to announce that BDO Governance Advisory Sdn. Bhd., a forensic practitioner was appointed to conduct an independent comprehensive forensic review into certain disputed payment transactions at Jetson as well as the governance, implementation and execution of its employees' share option scheme (ESOS) undertaken in around June 2025.
BDO Governance Advisory Sdn. Bhd. has issued the forensic report.
1. The findings from the forensic report by BDO Governance Advisory Sdn. Bhd. reveals that the disputed payment transactions were effected without adequate supporting documentation, clear commercial rationale and proper approval where these payments were initiated and released primarily without sufficient independent verification, documented approvals or adherence to established internal procedures.
On the implementation and execution of ESOS, it was found that the ESOS acceptance and subscription process were not implemented in accordance with the by-laws of the ESOS and undertaken without the involvement and oversight of the ESOS committee.
2. The Board is continuing its assessment of the potential operational and financial implications resulting from the findings of the forensic report.
3. Based on Board's assessment to date there appears to be no immediate material impact of the findings from the forensic report on the financial statements of the Company.
4. The Company is currently seeking legal advice on the matter and is exploring its options to address the findings from the forensic report including reporting to the relevant authorities and initiate civil actions against the relevant parties involved, where advised, to protect the Company's interest.
The Board is committed to maintaining high standards of corporate governance and internal controls and continues to implement appropriate remedial measures to strengthen its governance framework.
