Pursuant to Rule 9.19(38) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Key Alliance Group Berhad ("KAG" or "the Company") wishes to announce that the Company's External Auditors, Messrs. Russell Bedford LC PLT had expressed a qualified opinion in the Company's Audited Financial Statements for the financial year ended 31 March 2026 ("Qualified Opinion").

A) QUALIFIED OPINION

Please refer to the attachment for the details of the Qualified Opinion and Key Audit Matters disclosed in the Independent Auditors' Report.

B) STEPS TAKEN OR PROPOSED TO BE TAKEN TO ADDRESS THE KEY AUDIT MATTERS THAT RELATES TO THE QUALIFIED OPINION 

The Company has taken note of the auditor's qualified opinion in respect of the Group's share of profit from Modern Falcon Sdn. Bhd.. The Company has commenced engagement with the associate to secure access to management and accounting records, initiated independent verification procedures, and strengthened oversight mechanisms. Measures are being implemented to align reporting timelines, and the Board is considering contractual safeguards to ensure timely and accurate reporting in future periods.

C) TIMELINE

Barring any unforeseen circumstances, the Company expects to substantially complete the remedial measures relating to the matter giving rise to the Qualified Opinion prior to the issuance of its next Annual Report.
