The Board of Directors of JHB ("Board") wishes to announce that, on 20 July 2026, Diners Club (Malaysia) Sendirian Berhad ("DCM"), a wholly-owned subsidiary of JHB, had by exchange of letters with Syarikat Majuperak Berhad ("SMB" or "Seller"), agreed to acquire SMB's 1,000,000 ordinary shares in Lumut Park Resort Sdn Bhd ("LPR") ("Sale Shares"), representing the remaining 20% equity interest in LPR, for a total cash consideration of Ringgit Malaysia Three Million Two Hundred and Fifty Thousand (RM3,250,000.00) ("Purchase Price") ("Proposed Acquisition").
