We refer to the Company's announcements dated 2 March 2026 and 24 June 2026 ("Announcements").
Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said Announcements.
On behalf of the Board, CGS MY wishes to announce that the Company is proposing to implement the MiTB Shareholder Entitlement in relation to the Proposed Listing by way of a dividend-in-specie ("Proposed Distribution").
The Proposed Distribution will involve the distribution of up to 9,000,000 Mi Material Shares ("Distribution Shares") to the shareholders of MiTB whose names appear in the record of depositors of MiTB as at 5:00 p.m. on a date to be determined and announced later by MiTB ("Entitlement Date") ("Entitled MiTB Shareholders") based on the distribution ratio of 1 Distribution Share for every 100 MiTB Shares held (excluding treasury shares).
The actual number of Distribution Shares to be distributed to the Entitled MiTB Shareholders pursuant to the Proposed Distribution will depend on the number of MiTB Shares in issue (excluding treasury shares) held by the Entitled MiTB Shareholders as at the Entitlement Date. The Entitlement Date will be determined by the Board after all the relevant regulatory approvals for the Proposed Listing have been obtained.
The Proposed Distribution is intended to provide an opportunity and an assured entitlement for the existing shareholders of MiTB to directly hold equity interest in Mi Material and to participate directly in the future growth of Mi Material Group. The Distribution Shares will be distributed to the Entitled MiTB Shareholders at no cost to them, with no payment or consideration required.
The Proposed Distribution is also subject to the approval of the shareholders of MiTB.
Further details on the Proposed Distribution will be set out in the circular to shareholders of MiTB in relation to the Proposed Listing, to be issued in due course prior to an EGM to be convened.
The Board wishes to remind shareholders of the Company and investors that the details of the Proposed Listing are still being finalised and that the Proposed Listing is subject to amongst others, market conditions, the relevant regulatory, shareholders' and other approvals being obtained, and the execution of definitive agreements by the relevant parties. Accordingly, shareholders of the Company and investors should note that there is no assurance that the Proposed Listing will occur or that if the Proposed Listing materialises, the form and details of the Proposed Listing will be the same as has been announced by the Company. Shareholders of the Company and investors should therefore exercise caution when dealing with the securities of the Company.
An application has been made to the SGX-ST for permission to list all issued Mi Material Shares (including the Distribution Shares). Accordingly, all dealings in, and transfers of, the Distribution Shares will need to be effected through the book-entry settlement system maintained by the Central Depository (Pte) Limited ("CDP") and if you wish to have the Distribution Shares credited directly into your own securities account maintained with CDP or a depository agent sub-account maintained by your nominated broker in Malaysia, you should ensure that the relevant securities account with CDP or a depository agent sub-account maintained by your nominated broker in Malaysia is opened as soon as practicable.
