The Board of Directors of PTT wishes to announce that PTTR, an indirect 70%-owned subsidiary of the Company, had on 17 July 2026 entered into a Software Acquisition Agreement and three (3) Supplemental Agreements (collectively referred to as the "Agreement") with VTRADEX to acquire all legal and beneficial ownership, including all intellectual property rights in and to the Software in the Territory (details as set out in the attachment), for a total cash consideration of USD7,106,400.00, subject to the terms and conditions set out in the Agreement.
