On behalf of the Board of Directors of PGB, UOB Kay Hian (M) Sdn Bhd wishes to announce that PGSB had, on 14 July 2026, entered into 29 conditional sale and purchase agreements with 35 beneficial owners to acquire an aggregate undivided share of 753/1,000 in the beneficial interests in the freehold land held under Geran 238199, Lot 1317, Mukim of Sedenak, District of Kulai, State of Johor measuring approximately 103.9029 hectares or 11,184,030 square feet ("sq ft") ("Master Land"), representing an aggregate land area of approximately 8,521,697.25 sq ft, for a total cash consideration of RM127,276,012.91 ("Proposed Acquisition").
For information purposes, PGSB had, on 8 July 2026, entered into 3 unconditional sale and purchase agreements ("Initial SPAs") with 3 beneficial owners to acquire an aggregate of undivided share of 88/1,000 in the beneficial interests in the Master Land, representing an aggregate land area of approximately 980,100 sq ft, for a total cash consideration of RM13,859,808.00 ("Initial Acquisition"). As the Initial Acquisition and the Proposed Acquisition were entered into within a period of 12 months and involve the acquisition of beneficial interests in the same parcel of land (i.e. the Master Land), both the Proposed Acquisition and Initial Acquisition are required to be aggregated pursuant to Paragraphs 10.12(1) and 10.12(2)(b) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
Given that the Initial SPAs are unconditional, the Initial Acquisition was hence completed upon the date of execution of the Initial SPAs. The salient details on the Initial Acquisition are included in this announcement for information purposes as it relates to the same Master Land and, together with the Proposed Acquisition, sets out the aggregate beneficial interests in the Master Land acquired and proposed to be acquired by PGSB pursuant to the Proposed Acquisition.
(The Initial Acquisition and Proposed Acquisition are collectively referred to as the "Land Acquisitions").
The Land Acquisitions (which will result in PGSB holding an aggregate undivided share of 841/1,000 in the beneficial interests in the Master Land upon completion of the Proposed Acquisition) are in line with PGB and its subsidiaries' long-term strategy to expand its strategic land bank and capitalise on the growing development opportunities in Johor. The Master Land is strategically located within the Kulai-Sedenak flagship zone of the Johor-Singapore Special Economic Zone, which is envisaged as a key economic and investment corridor supported by improving connectivity, infrastructure enhancements and increasing domestic and foreign investments.
