The Board of Directors of TSR Capital Berhad ("TSR Capital" or "the Company") wishes to announce that its wholly-owned subsidiary, TSR Bina Sdn. Bhd. ("TSR Bina"), has accepted a Letter of Award from AFA Construction and Engineering Sdn Bhd in relation to construction works for the proposed widening of the Kuala Lumpur - Karak Highway for a contract sum of RM130 million ("the Contract"), thereby further strengthening the Group's presence in Malaysia's infrastructure sector.
DETAILS OF THE CONTRACT
The scope of works under the Contract includes the construction and completion of earthworks and other associated works for Package 2B for the project known as "Proposed Widening of Kuala Lumpur - Karak Highway from KM19.20 to KM39.00 (Section 1) and from KM39.00 TO KM64.50 (Section 2)". The Contract is for a duration of twenty four (24) months and is scheduled to be completed by the third quarter of 2028.
FINANCIAL EFFECTS
Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Contract is expected to contribute positively to the earnings and net assets of the Group for the financial years ending 30 June 2027, and over the duration of the project.
RISK FACTORS
The Board does not foresee any exceptional risk factors other than the normal operational and project risks associated with construction contracts, which will be mitigated through the Group's established risk management and internal control processes.
CONTRACT RENEWAL STATUS
The Contract is not subject to renewal.
DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS
None of the Directors or major shareholders of TSR Capital or persons connected to them have any direct or indirect interest in the Contract.
DIRECTORS' STATEMENT
The Board of Directors of TSR Capital, having considered all relevant factors, is of the opinion that the acceptance of the Contract is in the best interest of the Company and its shareholders.
APPROVALS REQUIRED
The Contract is not subject to the approval of the shareholders of TSR Capital or any relevant regulatory authorities.
