Reference is made to the Company's announcement dated 7 May 2026 in relation to the Memorandum of Understanding dated 7 May 2026 signed between NICE REE Sdn Bhd (formerly known as Supreme Conquest Sdn Bhd) ("NREE"), a wholly owned subsidiary of NICE and with Greensnow Consolidated Berhad ("GCB"), and the Joint Development Agreement ("JDA") with GCB on 25 June 2026 on the joint development of a Rare Earth ("RE") exploration, extraction and processing project in Malaysia, focusing on ion-adsorption clay ("IAC-RE") deposits on a 2,000 acres of land located in Sungai Jeli, Kelantan (the "Project").

Pursuant to the JDA, a special purpose vehicle ("JV Company") shall be set-up / incorporated to undertake the Project.

The Board of Directors of NICE (the "Board") is pleased to announce that GCB and NREE had entered into a Memorandum of Understanding for Offtake of RE Minerals with StrategicREM, LLC ("StrategicREM" or "Offtaker") on today, 30 June 2026 ("MoU") to establishes a framework for the parties to negotiate and executive a Definitive Offtake Agreement ("DOA") for the sale and purchase of RE minerals produced and/or extracted from the Project ("PRODUCTS").
