PRIVATE PLACEMENT OF UP TO 51,562,037 NEW ORDINARY SHARES IN FSBM ("FSBM SHARES" OR "SHARES"), REPRESENTING 10.0% OF THE TOTAL NUMBER OF ISSUED SHARES OF THE COMPANY (EXCLUDING TREASURY SHARES) PURSUANT TO SECTIONS 75 AND 76 OF THE COMPANIES ACT, 2016 ("PRIVATE PLACEMENT")

Reference is made to the Company's earlier announcements dated 30 October 2025, 5 November 2025, 7 November 2025, 22 December 2025, 30 December 2025, 31 December 2025, 25 March 2026, 30 March 2026, 31 March 2026, 30 April 2026, 19 June 2026, 24 June 2026 and 25 June 2026 ("Earlier Announcements") in relation to the Private Placement. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.

 

On 7 November 2025, Bursa Securities had resolved to approve the listing and quotation of up to 51,562,037 new FSBM Shares to be issued pursuant to the Private Placement. Bursa Securities had vide its letter dated 30 April 2026 resolved to grant FSBM an extension of time until 30 June 2026 to complete the implementation of the Private Placement.

 

On behalf of the Board, Malacca Securities wishes to announce that the Company had issued an aggregate of 48,514,900 Placement Shares pursuant to the Private Placement. Accordingly, the Private Placement is deemed completed on 29 June 2026.
