On 15 December 2025, Gurun Heavy Industrial Park Sdn. Bhd. ("GHIP"), an indirect subsidiary of Ann Joo Resources Berhad ("Ann Joo" or the "Company"), entered into a Joint Venture Agreement ("JVA") with Transyear Sdn. Bhd. ("Transyear") to develop and market a freehold land under category of industrial held under title no. Hakmilik Geran 67221, Lot 8071, Bandar Gurun, Daerah Kuala Muda, Negeri Kedah, measuring approximately 160.87 acres (the "Development Land"). GHIP is the registered owner of Development Land.
The Development Land is part of the land bank of GHIP, which was acquired by ANNJOO. The 99.99% shares in GHIP were progressively acquired by ANNJOO between 21 June 2023 to 4 February 2025.
Pursuant to the JVA, the Board of Directors of Ann Joo (together with its subsidiaries, the "Group") wishes to announce that the joint venture partners, GHIP and Transyear, have on 10 June 2026 entered into a Sale and Purchase Agreement ("SPA") with Zichen Malaysia Sdn. Bhd. ("Zichen"), for the disposal of 62.395 acres of land, known as Plot 5, located in Gurun Heavy Industrial Park, Kedah for a cash consideration of RM119,588,000 ("Consideration") ("Disposal").
