OASIS HARVEST CORPORATION BERHAD ("OASIS" OR THE "COMPANY")

I. PROPOSED DIVERSIFICATION;
II. PROPOSED RIGHTS ISSUE WITH WARRANTS; AND 
III. PROPOSED EXEMPTION  

(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

 

We refer to the earlier announcements dated 10 April 2026 and 24 April 2026 in relation to the Proposals.

 

On behalf of the Board, UOBKH wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 9 June 2026, resolved to approve the following:-

 

i. Admission of the Warrants to the Official List of Bursa Securities and listing and quotation of up to 73,583,720 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants;

 

ii. Listing and quotation for up to 73,583,720 Rights Shares to be issued pursuant to the Proposed Rights Issue with Warrants; and

 

iii. Listing and quotation for up to 73,583,720 new Shares to be issued arising from the exercise of the Warrants.

 

The approval by Bursa Securities is subject to the following conditions:-

 

i. Oasis and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Rights Issue with Warrants;

 

ii. Oasis must comply with the public security holding spread requirements pursuant to paragraph 8.02(1) of the Listing Requirements upon the listing and quotation of the new Shares;

 

iii. Oasis is required to furnish Bursa Securities with a certified true copy of the resolution passed by its shareholders at a general meeting for the Proposed Rights Issue with Warrants;

 

iv. Oasis and UOBKH are required to inform Bursa Securities upon completion of the Proposed Rights Issue with Warrants;

 

v. Oasis is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Rights Issue with Warrants is completed; and

 

vi. Oasis is required to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
