The Board of Directors ("Board") of Croesus IT Holdings Berhad ("Croesus IT Holdings" or the "Company") wishes to announce that Croesus IT Solutions Sdn. Bhd., a wholly-owned subsidiary of the Company had on 8 June 2026 entered into three (3) agreements for software solutions and implementation services, maintenance, and hosting and management services (collectively, "Agreements"), totalling approximately RM0.90 million with Yinson Green Technologies (M) Sdn. Bhd., a wholly-owned subsidiary of Yinson Holdings Berhad, a company listed on the Main Market of Bursa Securities Malaysia Berhad.

The implementation of the software solutions is expected to be completed in August 2026. While the agreement for maintenance, and hosting and management services are expected to begin in July 2026 and is renewable on an annual basis.

The Board is of the view that the Agreements in the best interest of the Company and its subsidiaries (collectively referred to as the "Group") and is expected to contribute positively to the earnings and net assets per share of the Group for the financial years ending 31 December 2026 onwards.

The Board does not foresee any exceptional risks other than the normal operational risks and execution risks associated with the Agreements. Nevertheless, the Company will continue to exercise due care and take appropriate measures to mitigate the risks associated with the execution of the Agreements.

None of the Directors and/or major shareholders and persons connected with the Directors and/or major shareholder has any interest, direct or indirect, in the Agreements.
